1.DEFINITIONS AND INTERPRETATION 1.1. "Company," "we," "us," or "our" refers to Grid Acquisitions Inc., located in Miami Beach, FL. 1.2. "Service(s)" refers to Instagram growth services and reel boost services. 1.3. "Client," "you," or "your" refers to any individual or entity purchasing our Services. 1.4. "Platform" refers to Instagram and its associated services.
2. SERVICES AND PRICING 2.1. Subscription Services (a) Instagram growth services are provided on a subscription basis at $297.00 USD per month. (b) Subscription services are billed automatically on a monthly basis from the date of initial transaction. (c) Services commence within 24 hours of completed onboarding.
2.2. A La Carte Services (a) Reel boost services are available at $150.00 USD per individual reel. (b) All a la carte services are non-refundable upon initiation.
3. ACCOUNT ACCESS AND SECURITY 3.1. Client Credentials (a) Client shall provide Instagram username and password via telephone communication only. (b) Company does not store or maintain written records of client credentials. (c) Client remains solely responsible for: (i) The security of their Instagram account (ii) Any password modifications (iii) Management of two-factor authentication (iv) Immediate notification to Company of any security concerns
3.2. Security Protocols (a) Company utilizes specialized Instagram software for service delivery. (b) Client credentials are utilized solely for service implementation. (c) Company assumes no responsibility for security breaches outside of our direct control.
4. PAYMENT TERMS AND CONDITIONS 4.1. Billing Cycle (a) Monthly charges are processed on the anniversary date of initial subscription. (b) All fees are denominated in United States Dollars (USD).
4.2. Failed Payments (a) Company will attempt to process payment twice before service suspension. (b) Services will be terminated after two (2) consecutive failed payment attempts. (c) Reinstatement requires payment of any outstanding balances.
5. REFUNDS AND CANCELLATION POLICY 5.1. Subscription Refunds (a) Clients may request refunds within ten (10) days of: (i) Initial service activation (ii) Any subsequent renewal (b) Refund requests must be submitted to assigned Client Success Manager. (c) Refunds will be processed in USD to the original payment method. 5.2. A La Carte Services (a) Reel boost services are non-refundable upon initiation. (b) No exceptions shall be made to this policy.5.3. Cancellation (a) Cancellation requests must be submitted to assigned Client Success Manager. (b) Services continue until the end of the current billing period. (c) No prorated refunds are provided for mid-cycle cancellations.
6. RISK DISCLOSURES AND INSTAGRAM COMPLIANCE 6.1. Platform Risks (a) Client acknowledges that Services operate independently of Instagram. (b) Company makes no representations regarding Instagram's Terms of Service. (c) Client assumes all risks associated with: (i) Account suspension (ii) Account termination (iii) Content removal (iv) Algorithm changes (v) Platform policy modifications 6.2. Performance Disclaimers (a) No guaranteed results are provided or implied. (b) Typical results observed within 48 hours are not guaranteed. (c) Results may vary based on: (i) Account history (ii) Content quality (iii) Platform algorithms (iv) Market conditions
7. INTELLECTUAL PROPERTY RIGHTS 7.1. Content Ownership (a) All content posted to Client's Instagram account remains the exclusive property of Client. (b) Company claims no ownership rights to Client's content. (c) Client warrants they have necessary rights to all posted content.
7.2. Company Property (a) Company's methodologies, processes, and systems remain Company property. (b) Service delivery methods are proprietary and confidential. (c) No license to Company's intellectual property is granted or implied.
8. LIMITATION OF LIABILITY 8.1. Service Limitations (a) Services are provided "as is" without warranty of any kind. (b) Company expressly disclaims all warranties, whether express, implied, or statutory. (c) No guarantees regarding specific outcomes are made or implied.
8.2. Liability Cap (a) Company's maximum liability shall not exceed: (i) For subscription services: one month's subscription fee (ii) For a la carte services: the fee paid for the specific service (b) Company is not liable for: (i) Consequential damages (ii) Lost profits (iii) Account suspensions (iv) Algorithm changes (v) Platform policy changes
9. CUSTOMER SUPPORT 9.1. Availability (a) Support hours: Monday through Friday, 9:00 AM to 6:00 PM Eastern Standard Time (b) Excluding federal holidays (c) Response time within 24 hours of inquiry
9.2. Communication Channels (a) Primary support via SMS (b) Client Success Manager assigned upon service initiation (c) Emergency contact procedures provided upon onboarding
10. DISPUTE RESOLUTION 10.1. Initial Resolution (a) All disputes must first be submitted to assigned Client Success Manager (b) Written notification required (c) Response provided within five (5) business days
10.2. Escalation Process (a) Unresolved disputes reviewed on case-by-case basis (b) Company's decision is final and binding (c) Client agrees to pursue resolution before seeking legal remedies
11. GENERAL TERMS AND CONDITIONS 11.1. Governing Law (a) These Terms shall be governed by the laws of the State of Florida (b) Exclusive jurisdiction in Miami-Dade County, Florida (c) Client consents to personal jurisdiction in Florida courts
11.2. Modification of Terms (a) Company reserves right to modify these Terms at any time (b) Changes effective upon posting to Company website (c) Continued use of Services constitutes acceptance of modified Terms
11.3. Force Majeure (a) Company not liable for failures due to: (i) Acts of God (ii) Government actions (iii) Platform changes (iv) Internet outages (v) Circumstances beyond reasonable control
11.4. Severability (a) If any provision is found invalid, remaining provisions remain in effect (b) Invalid provisions shall be replaced with valid provisions of similar intent (c) Modification limited to minimum necessary for validity
11.5. Assignment (a) Client may not assign rights without written Company consent (b) Company may assign rights without restriction (c) Terms bind successors and permitted assigns
11.6. Entire Agreement (a) These Terms constitute complete agreement between parties (b) Supersedes all prior agreements and understandings (c) No oral modifications are valid
11.7. Waiver (a) Failure to enforce any right does not waive that right (b) Waivers must be in writing and signed by Company (c) Waivers limited to specific instance cited
11.8. Notice (a) All notices must be in writing (b) Delivered via: (i) Email (ii) SMS (iii) Certified mail to Company address (c) Effective upon receipt
11.9. Survival (a) Following provisions survive termination: (i) Payment obligations (ii) Intellectual property rights (iii) Limitation of liability (iv) Dispute resolution (v) Confidentiality obligations
